These joybox Terms of Service ("Terms") govern your access to and use of the joybox service, including any related websites, checkout pages, digital song generation workflows, and delivery communications (collectively, the "Service"). In these Terms, "we," "us," and "our" refer to joybox.

By using joybox or placing an order, you agree to these Terms.

1. Eligibility and Orders

• joybox creates a personalized digital song based on your prompts, preferences, and submitted details.
• Because outputs are personalized and generated with creative and automated systems, each output may vary.
• Delivery windows shown at checkout are estimates, not guarantees, unless expressly stated otherwise.

3. Pricing and Payment

• Prices are displayed at checkout before payment.
• By submitting payment, you authorize us and our payment processor to charge the full amount shown at checkout, including applicable taxes and fees.
• If a payment method fails or is declined, we may suspend or cancel the order until payment is completed.

4. Refunds, Revisions, and Final Sale Terms

• Our refund practices are governed by the joybox Refund Policy at https://joybox.studio/joybox/refund-policy, which is incorporated into these Terms.
• All joybox orders are final once placed and are not eligible for cancellation, refund, or revision, except where required by applicable law or as expressly stated in the joybox Refund Policy.
• If an order is eligible for a correction due to a verified production defect (for example, failed file delivery or materially wrong output versus submitted inputs), we may provide a remedy in our discretion, such as re-render, replacement, or account credit.

5. License and Intellectual Property

• Subject to these Terms and full payment, you receive a personal, non-exclusive license to use the delivered song for lawful personal use.
• Unless expressly granted in writing, you may not resell, sublicense, or commercially exploit joybox outputs at scale.
• You represent that your submitted prompts and materials do not infringe third-party rights and are lawful to use.
• We retain all rights in the Service, software, website, branding, and underlying systems.

6. User Content and Conduct

You agree not to submit content that is unlawful, infringing, defamatory, hateful, abusive, or otherwise prohibited. We may reject or remove content that violates these Terms or applicable law.

7. Disclaimers

• The Service is provided on an "as is" and "as available" basis.
• We do not guarantee uninterrupted operation, exact artistic outcomes, or that every output will match subjective expectations.
• To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, we and our affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from or related to the Service.

To the maximum extent permitted by law, our aggregate liability for any claim related to the Service will not exceed the amount you paid to us for the order giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless joybox and its affiliates from claims arising out of your use of the Service, your submitted content, or your violation of these Terms or applicable law.

10. Dispute Resolution; Arbitration; Class Action Waiver

To the maximum extent permitted by law:

• Any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration, not in court, except claims eligible for small claims court.
• You waive any right to participate in a class action or class-wide arbitration.
• Arbitration will be administered by the American Arbitration Association (AAA) under applicable rules.

If a court determines this arbitration provision is unenforceable in your jurisdiction, disputes will be resolved in the state or federal courts located in Los Angeles County, California, and each party consents to that venue and jurisdiction.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, and applicable federal law.
